Terms of Use

1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you or the entity you represent ("Customer", "you") and Eigent UK Ltd ("Eigent", "we", "us").

These Terms govern your use of:

  • the Eigent desktop multi-agent application and related components provided for installation in your own environment;
  • any Eigent-hosted cloud-connected services you subscribe to; and
  • associated documentation and support channels.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not use the Service.

For enterprise customers, these Terms operate together with any Master Services Agreement ("MSA") and Order Forms executed between you and Eigent. If there is a conflict, the MSA or Order Form prevails.

For enterprise customers that require a data processing agreement, Eigent may provide a Data Processing Addendum ("DPA") covering applicable cloud-connected services, support processing, subprocessors, international transfers, data retention, deletion, model-training restrictions, and permitted service-improvement processing.


2. Deployment Models & Applicability

Eigent can be used in two main deployment models:

1. Cloud-Connected Service (Hosted by Eigent)

  • You access Eigent via our hosted infrastructure, which may use cloud providers identified on our subprocessor page, such as AWS and Microsoft Azure, where applicable.
  • Data processed via this model may be stored on Eigent-controlled infrastructure and is subject to the Privacy Policy and, where applicable, the Data Processing Addendum ("DPA").
  • A current public summary of Customer Data subprocessors used for applicable Eigent-operated services is available at https://www.eigent.ai/trust/subprocessors.

2. Enterprise Local Deployment (On-Premise / Private Cloud)

  • You deploy Eigent on infrastructure you control (local servers, workstations, or private cloud).
  • Critical Notice: In this deployment mode, Eigent has no routine access to, and does not store, process, or transmit, your prompts, tasks, files, outputs, or other business data processed by the software (collectively, "Customer Data"). The software operates entirely within your controlled environment.
  • If you choose to provide logs, screenshots, seed data, sample files, configuration materials, remote-access content, or other materials to Eigent for support, testing, onboarding, configuration, or professional services, Eigent may process those materials as described in these Terms, the Privacy Policy, and any applicable DPA or Order Form.
  • Eigent's role with respect to Customer Data in this mode is described in Section 5.

Any cloud-hosted services you may purchase from Eigent are subject to additional or separate terms; any reference to "Service" in these Terms will be interpreted in light of the applicable deployment model.


3. Service Description

Eigent is an open-source desktop multi-agent application designed to automate complex enterprise workflows.

The Service operates by receiving a user-defined task, automatically analysing and decomposing it into sub-tasks, and assigning these to specialized agents that may call tools in parallel until the overall task is completed or fails.

Eigent and its licensors retain all right, title, and interest in and to the Software, documentation, and any improvements or derivative works created by Eigent.

3.1 Core Agents

Eigent currently includes several pre-configured agent types, including:

  • Coordinator Agent: Functions as the primary dispatcher. It maintains the global state and allocates subtasks to specific workers based on availability and capability.

  • Task Agent: Taking responsibility for the semantic decomposition of high-level objectives into executable, atomic units.

  • Worker Agent: Serves as the specialized execution unit. Worker agents consume atomic subtasks and execute them using domain-specific tools. Like:

    • Developer Agent - Equipped with terminal toolkit
    • Search Agent - Equipped with browser automation and search engine
    • Multi-Modal Agent - Capable of image analysis, video processing, audio processing, and image generation.
    • Document Agent - Handles file management and document creation.

3.2 Customisation

You may extend Eigent's capabilities by:

  • adding specific agent nodes and tools;
  • integrating third-party tools and APIs (e.g. MCP tools, Git providers, communication tools).

Eigent may provide custom development and integration services on a professional-services basis, as set out in an applicable MSA, Statement of Work ("SOW") or Order Form.

3.3 Task Execution Logic

When you submit a task, Eigent's planner will:

  1. Analyse the task and decompose it into sub-tasks;
  2. Assign sub-tasks to appropriate agents;
  3. Invoke tools in parallel ("ascents") until sub-tasks succeed or fail;
  4. If a sub-task fails, attempt reallocation or further decomposition.

You remain responsible for validating outputs and deciding how they are used in your business processes.


4. Eligibility and Accounts

You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to use the Service.

You may need an account to access license downloads, support, or portals.

You agree to keep your credentials confidential and to notify us promptly of any unauthorised use.


5. Licences and Open-Source Components

5.1 Proprietary Software Licence

Subject to your compliance with these Terms and payment of applicable fees (if any), Eigent grants you a limited, non-exclusive, non-transferable licence to install and use the proprietary components of the Eigent desktop application, solely for your internal business purposes and in accordance with:

  • these Terms;
  • any applicable MSA and Order Form;
  • the documentation.

Commercial production use by teams may require a separate Commercial License, as set out in your Order Form.

5.2 Open-Source Licence

Eigent's source code is made available under Apache License 2.0. Your rights to use, modify, and distribute that source code are governed by the terms of the open-source licence.

If there is any conflict between these Terms and the open-source licence with respect to the source code, the open-source licence governs.


6. Customer Data and Data Protection Roles

6.1 Definitions

  • "Customer Data" means any data, content, files, prompts, outputs, or other information that you or your users input into, process with, or generate through the Eigent software, including any personal data contained therein.

  • "Customer Content" means information, data, prompts, files, works, or other materials that you or your users upload, submit, transmit, create, or generate through the Service, and any outputs produced or derived by the Service based on such inputs. Customer Content forms part of your Customer Data.

  • "Customer Environment" means the infrastructure, devices, and networks you control where the Eigent software is deployed (including private cloud or on-premise servers).

  • "Derived Data" means data derived from the operation and use of the Services only where such data has been aggregated, synthesized, anonymized, or otherwise rendered non-personal under applicable data protection laws. Derived Data shall not include Customer Data in its original or identifiable form, Customer Confidential Information, Personal Data, or any information that could reasonably identify Customer, its users, or any individual.

6.2 Local Deployment (On-Prem / Private Cloud)

For the Enterprise Local Deployment:

  • Customer Data is processed and stored in the Customer Environment.
  • By design, Customer Data is not transmitted to Eigent in normal operation, and we have no technical ability in the ordinary course to access your Customer Data.
  • You are solely responsible for complying with any laws applicable to your processing of Customer Data, including providing notices and obtaining consents from end users if required.

In this deployment model, Eigent does not act as a "processor"/"service provider"/"entrusted party" with respect to Customer Data under GDPR / UK GDPR / CCPA / APPI or similar laws, except to the limited extent you deliberately send us Support Data (logs, screenshots, seed data, sample datasets, configuration materials, or remote-access content) for support, onboarding, testing, configuration, or professional services, as governed by the DPA or other applicable agreement.

6.3 Cloud-Connected Services

If you use an Eigent-hosted cloud-connected service:

  • Eigent may host Customer Data on its infrastructure for the purpose of providing that service;
  • the parties' roles (controller / processor) for that cloud-connected processing will be described in the applicable DPA or SaaS terms; and
  • data protection obligations for that processing will be governed by the DPA or other relevant data protection clauses.

Eigent will process Customer Data for cloud-connected services only to provide, configure, initialize, secure, support, maintain, test, evaluate, debug, and improve the reliability and functionality of the Services as described in these Terms, the Privacy Policy, the applicable DPA, and any relevant Order Form. Model training and fine-tuning are addressed in Section 6.5.

6.4 Customer Content License

Except as expressly set forth in this Agreement, Customer retains all its right, title, and interest in and to Customer Content, and all intellectual property and proprietary rights therein, including Customer Data Inputs, Outputs, tasks, and files stored in the Customer Environment.

You hereby grant Eigent a worldwide, royalty-free, non-exclusive license to use, copy, store, and process Customer Content to the extent necessary to:

  • provide, operate, and maintain the Services for you;
  • configure, initialize, test, evaluate, debug, adapt, and improve customer-specific workflows, service features, templates, automations, and related service functionality, including by using customer-provided seed data, sample data, configuration materials, prompts, inputs, outputs, and support materials where applicable;
  • create Derived Data as described in Section 6.6;
  • comply with applicable law or respond to legitimate government requests;
  • perform security monitoring, debugging, abuse prevention, reliability, and support activities in accordance with the Privacy Policy and, where applicable, the DPA.

6.5 Model Training and Service Improvement

Eigent will not directly use Customer Data, including prompts, inputs, outputs, files, or other Customer Content, in its original or identifiable form to train, fine-tune, or improve AI or machine learning models.

Where you connect your own model providers, APIs, MCP tools, data sources, or third-party services, those providers are selected and controlled by you and are governed by your own agreements with those providers. Eigent does not control whether customer-selected third-party providers use data for their own purposes.

6.6 Derived Data and Anonymous Data

For the avoidance of doubt, Eigent may use data derived from the operation and use of the Services only where such data has been aggregated, synthesized, anonymized, or otherwise rendered non-personal under applicable data protection laws ("Derived Data"). Derived Data shall not include Customer Data in its original or identifiable form, Customer Confidential Information, Personal Data, or any information that could reasonably identify Customer, its users, or any individual.

Customer acknowledges that Eigent owns all rights, title, and interest in and to Derived Data and may use such Derived Data for lawful business purposes, including analytics, benchmarking, product improvement, service optimization, security monitoring, and commercialization, provided that such use does not disclose Customer Confidential Information, Personal Data, or any identifiable information.


7. Data Privacy and Security

7.1 No Access in Local Deployment

For Enterprise Local Deployment, Eigent expressly disclaims any ability to access Customer Data as part of the normal operation of the software. You acknowledge that you are the sole controller (and, where applicable, processor) of data within your local instance.

7.2 Cloud Version Data

For any cloud-connected services provided by Eigent:

  • Customer Data may be processed and stored on cloud providers identified on our subprocessor page, such as AWS and Microsoft Azure, where applicable;
  • Eigent may process Inputs, Outputs, Customer Data, Customer Content, seed data, sample data, configuration materials, and support materials to provide, configure, initialize, test, evaluate, debug, secure, support, maintain, and improve the Services as described in Section 6.5; and
  • error or failure logs may be used solely for technical debugging, stability analysis, and security monitoring, in accordance with the Privacy Policy and, where applicable, the DPA.

7.3 Local Storage of Keys and Credentials

Regardless of deployment model:

  • Model API keys and credentials for tools (including third-party integrations) that you configure within Eigent are stored in your environment (for example, on the device where the application is installed or in your private infrastructure).
  • Eigent does not receive or store your model API keys or tool credentials unless you explicitly choose to share them with us (for example, in a support ticket).

8. Acceptable Use

You agree not to use the Service to:

  • violate applicable laws or regulations;
  • infringe, misappropriates, or violates others' rights;
  • abuse reporting or appeals processes by providing clearly unfounded information;
  • generate or deploy malicious code;
  • Interfering with or disrupting our services, including bypassing any rate limits or restrictions, or circumventing any protective measures or security mitigations implemented in our services;
  • circumvent or attempt to defeat security or usage controls;
  • attempt or assist anyone to reverse engineer, decompile, or probe the source code or fundamental components of our services;
  • modify, copy, rent, sell, or distribute any part of our services;
  • operate a multi-tenant SaaS service substantially similar to Eigent's official cloud service without a separate licence;
  • interfere with the operation of the Service or third-party services.

You are responsible for your users' compliance with this Section.


9. Third-Party Tools and Models

Eigent enables you to connect to third-party APIs, tools, and AI models (e.g., foundation model providers, MCP tools, Git hosting, communication platforms).

You acknowledge that:

  • such third-party services are not controlled by Eigent;
  • they are governed by separate terms and privacy policies between you and the relevant provider; and
  • Eigent is not responsible for failures, outages, or acts/omissions of third-party services.

You are responsible for any data you send to those services.

Third-party services that you select, configure, or access using your own credentials are not Eigent subprocessors. Eigent Customer Data subprocessors for applicable Eigent-operated services are listed at https://www.eigent.ai/trust/subprocessors and may also be described in the applicable DPA or Order Form. Other service providers used for website, billing, analytics, recruiting, customer communications, or internal business operations are described by category in the Privacy Policy and are not treated as Customer Data subprocessors unless they process Customer Data on behalf of Eigent for the Services.


10. Fees and Payment

10.1 Cloud Mode (Credit Mode)

You pre-purchase or are billed for usage based on Eigent "credits", representing model and infrastructure consumption.

10.2 BYO Key Mode

You provide your own model API keys. In this mode, Eigent does not charge model usage fees; you pay the model provider directly, but standard subscription or platform fees (if any) may still apply.

Specific pricing, billing frequency, and metrics will be set out in the applicable Order Form.

10.3 Commercial License

For the Enterprise Local Deployment:

  • Enterprise . Production use by Commercial Team requires a paid Commercial License from Eigent (or other threshold as set in the Order Form).

  • Deployment & Customisation Services. Local deployment support, custom agent development, and other professional services are chargeable and will be detailed in the Order Form or SOW.

All fees, payment terms, taxes, and consequences of late payment will be defined in the MSA / Order Form.


11. Limitation of Liability

11.1 Exclusion of Damages

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES), RESULTING FROM USE OF THE SERVICES OR DOCUMENTATION, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES.

11.2 Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL CUMULATIVE LIABILITY AND OBLIGATIONS UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS, PAID BY CUSTOMER TO EIGENT FOR THE SERVICES GIVING RISE TO THE LIABILITY OR OBLIGATION IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE LIABILITY AROSE (THE "LIABILITY CAP").

11.3 Unlimited Liability

THE LIABILITY CAP SHALL NOT APPLY TO INFRINGEMENT OR MISAPPROPRIATION BY A PARTY OF THE OTHER PARTY'S INTELLECTUAL PROPERTY RIGHTS OR EIGENT'S RIGHT TO COLLECT UNPAID FEES DUE HEREUNDER.


12. Representations, Warranties and Disclaimers

12.1 Representations and Warranties

Customer and Eigent represent and warrant to each other that such Party has the power, authority, and legal right to enter into and to perform such Party's obligations under this MSA. Customer represents and warrants that Customer and its Authorized Users, as applicable, own or are duly authorized to use, upload, store, or process all Customer Data and Intellectual Property transmitted by, used, or hosted on the Systems in connection with the Services. Eigent warrants that, during the warranty period specified in the applicable Order Form or other commercial agreement between the parties, the Software will materially conform to the documentation when used in a supported configuration.

12.2 AI Output Disclaimer

Eigent does not warrant the accuracy, completeness, or legality of AI-generated outputs. Customer is solely responsible for verifying outputs before using them in production or decision-making.

12.3 General Disclaimer

THE SERVICES, MATERIALS AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, EIGENT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLIANCE WITH LAWS, AND NON-INFRINGEMENT. EIGENT DOES NOT REPRESENT OR WARRANT THAT THE SERVICES AND DOCUMENTATION WILL BE AVAILABLE WITHOUT INTERRUPTION OR ERROR-FREE. EIGENT MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT THE SERVICES WILL MEET CUSTOMER'S REQUIREMENTS OR EXPECTATIONS, THAT CUSTOMER CONTENT WILL BE ACCURATE, THAT ANY DEFECTS WILL BE CORRECTED, OR WITH RESPECT TO ANY THIRD-PARTY SERVICES. EIGENT SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY CUSTOMER CONTENT, THIRD-PARTY SERVICES, THIRD-PARTY CONTENT, OR NON-EIGENT SERVICES, INCLUDING BUT NOT LIMITED TO ANY DELAYS, INTERRUPTIONS, TRANSMISSION ERRORS, SECURITY FAILURES, AND OTHER PROBLEMS ARISING THEREFROM.


13. Term, Termination, and Suspension

These Terms continue while you use the Service.

Eigent may suspend or terminate your use of the Service if:

  • you materially breach these Terms or the MSA and fail to cure within a reasonable period after notice;
  • we are required to do so by law.

Upon termination (other than a perpetual open-source licence you may hold under the open-source licence):

  • your right to use Eigent's proprietary components ends; and
  • you must cease use and delete proprietary components, except as otherwise permitted by the open-source licence or MSA.

14. Severability and Waiver

If any part of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, that part will be construed to reflect the parties' original intent, and the remaining provisions of the Agreement will remain in full force and effect. The waiver of any breach of this Agreement or of any Order will be effective only if in writing, and no such waiver will operate or be construed as a waiver of any subsequent breach.


15. Governing Law and Dispute Resolution

The parties agree to the following country-specific provisions for governing law and venue for all claims and disputes arising out of or relating to the Agreement, Orders, or SOWs, or their subject matter or formation, including non-contractual disputes or claims ("Disputes"). The Agreement will be interpreted, construed, and enforced in accordance with the laws of England and Wales, without regard to conflicts of laws principles.

Mandatory Arbitration. Any legal actions arising under the Agreement must be initiated within one year after the cause of action arises. Prior to filing any legal claim, the initiating Party must contact the other Party and attempt in good faith to resolve the dispute informally. Except where prohibited by law, the Parties agree to resolve Disputes through final and binding arbitration in accordance with The Arbitration Rules (the "Rules") of the International Chamber of Commerce ("ICC") by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in London, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any arbitration action or proceeding shall be entitled to costs and attorneys' fees. Notwithstanding the parties' decision to resolve all disputes through arbitration, either party may bring enforcement actions, validity determinations, or claims arising from or relating to theft, piracy, or unauthorized use of intellectual property in any state, or federal court with lawful jurisdiction for such claims.

Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL BY JURY. The parties understand that, absent this mandatory arbitration section, they would have the right to sue in court and have a jury trial. They further understand that, in some instances, the costs of arbitration could exceed the costs of litigation and the right to discovery may be more limited in arbitration than in court.

Waiver of Class Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER, OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable, or that an arbitration can proceed on a class basis, then the arbitration provisions set forth herein shall be deemed null and void in their entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

If you are a consumer, pursuant to the mandatory provisions of the laws of your country, you may also choose to commence proceedings in the courts of your country of habitual residence. Nothing in this Agreement shall deprive you of any protection rights granted to you as a consumer under the mandatory laws of your country of habitual residence.
